Ecomello is a social media management tool for ecommerce businesses. You may connect a store, generate captions and images with AI, schedule and publish posts to connected social accounts, and review performance. We may add, change, or withdraw features. We aim for reasonable availability but do not guarantee uninterrupted or error-free operation, including where a third-party platform is unavailable.

The Service is offered to professionals: natural persons acting for purposes related to their trade, business, craft, or profession, and legal persons. You must be at least 18 and have capacity to contract. If you use the Service for a company, you warrant that you are authorized to bind it.

Because the Service is for professional use, consumer-protection rules such as Emergency Ordinance no. 34/2014 on consumer rights in distance contracts (including the 14-day withdrawal right) do not apply to professional customers. If you are nonetheless a consumer under Romanian or EU law, statutory rights that cannot be waived remain intact, including any applicable withdrawal right for digital services unless performance has begun with your prior consent and acknowledgment that you lose that right.

You must provide accurate information and keep credentials confidential. You are responsible for activity under your account. Notify support@ecomello.com promptly if you suspect unauthorized access.

By connecting a social account you authorize Ecomello to access it through official APIs and to take the actions you request, including publishing, scheduling, and reading performance data. You confirm you have authority to manage each account. Supported platforms currently include TikTok, Instagram, Facebook Pages, Threads, Pinterest, X, LinkedIn, Bluesky, and Mastodon.

Ecomello is independent of those platforms and is not endorsed or affiliated with them unless we say so. You must follow each platform's terms, community guidelines, and developer policies. A platform may change or revoke API access at any time; we are not liable for that.

Connecting Shopify or WooCommerce authorizes us to read catalog and store metadata needed to create posts. We do not access your customers' personal data or payment details from the store.

You must comply with each commerce platform's API and partner terms.

We publish only when you click publish or when a post you scheduled reaches its time. We act as your agent for that limited purpose. You are responsible for reviewing content and for everything posted from connected accounts, including compliance with advertising, consumer, and platform rules (for example Romanian and EU rules on commercial communications).

Publishing is subject to fair-use limits on how many posts a connected account may send in a day. The limits differ by platform and plan because each platform sets its own API ceiling; the current figures are published on our how-to page. We may adjust them where a platform changes its rules or to protect the Service from abuse, and a post over the limit is refused when you schedule it rather than failing later.

Captions and images may be produced by third-party models. Output can be inaccurate, off-brand, or contrary to law or platform rules. You must review and approve it before publication. We do not warrant reach, engagement, or sales.

You keep ownership of content you provide and of content generated for your account, subject to third-party model and platform rights. You grant us a limited, non-exclusive licence to host, store, process, and transmit that content solely to operate the Service for you. You warrant that you have all rights needed to provide and publish it, including for people appearing in images.

You must not use the Service to:

• Break EU or Romanian law, or the law of a country where you publish
• Infringe intellectual property, privacy, or personality rights
• Publish illegal, deceptive, hateful, or spam content
• Attempt unauthorized access or disrupt the Service
• Misuse platform APIs or resell platform data
• Use connected-account data to surveil or profile people beyond providing the Service to your own account

We may suspend or terminate access if we reasonably believe you have breached these Terms or endanger the Service, other users, or a connected platform.

For catalog, social, and content data processed to provide the Service to you, we are a processor and you are the controller (GDPR Article 28). We will: process only on your documented instructions (these Terms and your in-product actions); ensure persons authorized to process data are bound by confidentiality; implement appropriate Article 32 security; engage sub-processors listed in the Privacy Policy, with a right for you to object to a material new sub-processor by emailing privacy@ecomello.com before it goes live where reasonably possible; assist with data-subject requests and with Articles 32 to 36; delete or return that personal data at the end of the Service unless EU or Romanian law requires storage; and make available information reasonably needed to demonstrate compliance. International transfers of that data follow the Privacy Policy.

Paid plans are billed in advance through Stripe. Prices are as shown at checkout. If we are VAT-registered, invoices will include VAT where Romanian or EU VAT rules require it. You may cancel at any time; access continues until the end of the current billing period. Fees already paid are not refundable except where mandatory law requires a refund (for example a non-waivable consumer right, or a failure of the Service that Romanian law treats as justifying termination with restitution).

We may change prices with reasonable notice before the change applies to a new billing period.

We provide the Service with reasonable care and skill. Except for that and for guarantees that cannot be excluded under the Romanian Civil Code or other mandatory law, the Service is provided as available. We do not warrant that third-party integrations will remain offered or that published content will remain live on those platforms.

Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that Romanian or EU law does not allow to be limited.

Subject to the previous paragraph, we are not liable for indirect loss, loss of profit, loss of data, or loss of goodwill, except where such exclusion is not permitted. Our aggregate liability arising out of the Service in any twelve-month period is limited to the fees you paid us for the Service in that period (or EUR 100 if you paid nothing).

You will indemnify us against claims, damages, and reasonable costs arising from your content, your connected accounts, your breach of these Terms, or your breach of platform rules, except to the extent caused by our willful misconduct or gross negligence.

You may close your account at any time. We may suspend or end access for breach, legal requirement, loss of platform access, or to protect the Service. Upon termination your right to use the Service ends. We handle data as described in the Privacy Policy.

We may update these Terms. The date at the top will change. Material changes will be notified in the Service or by email where appropriate. If you do not agree, you must stop using the Service and cancel before the new Terms take effect for you. Continued use after that point constitutes acceptance, except where mandatory law requires a different mechanism.

These Terms are governed by Romanian law, excluding conflict-of-law rules that would point to another law, except where EU law (including GDPR) applies directly. The courts of Romania at our registered office have jurisdiction, without prejudice to mandatory venues for consumers or to your right to bring a GDPR complaint before ANSPDCP or another competent supervisory authority.

Before filing a claim, please contact support@ecomello.com so we can try to resolve the issue.

These Terms and the Privacy Policy are the entire agreement for the Service. If a provision is invalid, the rest remains in force and the invalid part is replaced by the valid rule closest to the parties' intent, as allowed by the Civil Code. Failure to enforce a provision is not a waiver. You may not assign the contract without our consent. We may assign it in a merger or sale of the business.
